Freshfields advises shareholders on sale of Jungeblodt group

Global law firm Freshfields Bruckhaus Deringer (‘Freshfields’) has advised the shareholders of Jungeblodt group, a German manufacturer of safety-relevant special fasteners (‘Jungeblodt’), on the sale of Jungeblodt to Italian O.M.E. – Metallurgica Erbese (‘OME’), a portfolio company of IGI Private Equity and a manufacturer of stud volts, hot forged nuts, screws and plugs. The transaction was signed and closed shortly thereafter. Financial terms were not disclosed.

Founded in 1848, Jungeblodt has grown from a family-owned business to a leading manufacturer of special fasteners and technical components with an international customer base in various industries and a high reputation for quality and innovation. The transaction takes place against a background of consolidation in the European market and opens up new opportunities and growth potential for both Jungeblodt and OME.

Freshfields has advised the shareholders of Jungeblodt on the corporate and tax structuring of the transaction and the negotiation of the share and limited partnership interest purchase agreement, carve out measures, the reinvestment in the purchaser and the negotiation of various ancillary agreements, including a toll manufacturing agreement, a transition service agreement, a long term corporate lease agreement and a managing director contract.
